The International Business
Companies Act 1994 The Seychelles Islands are
strategically located in the Indian Ocean, between the east of Africa
and India. The International Business Companies Act 1994 is the most
widely used vehicles for offshore operations in the Seychelles. It
normally takes the form of a private company limited by shares.
The legal system of the Seychelles
is based on English Common Law and French Civil Law
Incorporation
Can be incorporated within three (3) working days.
The Memorandum of association will be filed at the Registry. This
document may be either in English or French.
Statutory Requirement are minimal, and flexible :-

There is no minimum capital requirement.

Shares may be registered and issue in any currency.

Shares are issued in Registered form only

Bearer shares are no longer permitted

Only one director and one shareholder are required.

The same person can be the shareholder and director
-
Shareholder, directors and officers need not be
resident in the Seychelles and there is not stipulation as to their
nationality.

Directors and shareholders may be natural persons or
corporate entities.

No returns are needed of shareholders and directors.

The Certificate of Incorporation and Memorandum and
Articles of Association are the only documents to be held on the
public record if no filing done.
Taxation
Seychelles International Business companies are exempt
from all taxes on income derived outside of the Seychelles.
